Legal Guide to Termination of a Company or Joint Venture
Every day, friends and colleagues enter into business together with high hopes and aspirations as to the bright future of their business idea. Whilst the number of parties involved in the business will clearly vary, each of these businesses (assuming a limited company) will be governed by the Companies Act 2006, the company’s own Articles of Association and by contract, whether this contract is a carefully drafted Shareholders’ Agreement or another less formal contractual arrangement between the parties.
This legal guide looks at the various ways in which these companies or strategic alliances may terminate, whether by agreement for the parties to go their own way or as a result of a dispute or deadlock situation (i.e. where a 50:50 situation exists).
